Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Chara Media Zambia digital platform, including all modules: Main Website, Power Presence, Client Dashboard, Admin Panel, and Event Management System (collectively, the "Platform").

By creating an account, making a purchase, or using any service, you agree to:

• Comply with these Terms and all applicable laws
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

If you do not agree to these Terms, you must not access or use the Platform.

2.1 Account Creation

To access certain features (subscriptions, event registrations, personalized dashboards), you must create an account. You agree to:

• Be at least 18 years old or have parental consent
• Provide a valid email address and accurate information
• Verify your email address within 30 days of registration
• Not create multiple accounts for fraudulent purposes

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password (minimum 8 characters, including uppercase, number, and special character)
• Enabling Two-Factor Authentication (2FA) when available (mandatory for admin accounts)
• Notifying us immediately of any unauthorized access via info@charamediazambia.com

Chara Media Zambia is not liable for losses resulting from unauthorized account use if you fail to secure your credentials.

3.1 Subscription Plans

Power Presence offers three tiers:

• Per-Issue: K150 per magazine (one-time payment, lifetime access to purchased issue)
• Monthly Subscription: K100/month (unlimited access to all issues, auto-renewal)
• Yearly Subscription: K1000/year (unlimited access to all issues, auto-renewal, vvip reservation to chara media sponsored events)

3.2 Payment Methods

We accept:

• Manual and Automated Payments: Mobile money (MTN MoMo, Airtel Money), Visa/Mastercard Automatic via DPO Pay and Screenshot verify if Manual
• Manual Bank Transfers: To Stanbic Bank Zambia (details provided at checkout). Requires proof of payment submission and admin approval within 3-5 business days.

3.3 Billing and Renewal

• Monthly subscriptions auto-renew on the same date each month unless cancelled 24 hours before renewal
• Renewal reminders sent 7 days, 3 days, and 1 day before expiry
• Failed payments: 3 automatic retries over 72 hours. After failure, subscription enters 7-day grace period with limited access (1 article)
• Prices may change with 30 days' notice to active subscribers

3.4 Refund Policy

• Per-Issue purchases: Refundable within 24 hours if no content accessed (contact support)
• Monthly subscriptions: Prorated refunds at admin discretion for technical issues preventing access
• No refunds for partial months or after content consumption
• Bank transfer refunds processed within 7-10 business days

3.5 Cancellation

Cancel anytime from your Client Dashboard (/client/subscription). Access continues until the end of your current billing cycle. No partial refunds for early cancellation.

4.1 RSVP and Attendance

• Event RSVPs are binding. Cancellations must be made 48 hours before the event for a full refund (paid events)
• Virtual event links are sent 1 hour before start time and are unique per user (non-transferable)
• Physical events may require photo ID matching your registration name
• No-shows forfeit admission and are not eligible for refunds

4.2 Event Modifications

Chara Media reserves the right to:

• Change event dates, times, or locations with 72 hours' notice
• Cancel events due to unforeseen circumstances (full refunds issued)
• Limit capacity and close registrations at any time

5.1 Platform Content

All content on the Platform (articles, images, videos, logos, designs) is owned by Chara Media Zambia or licensed partners. You may not:

• Copy, reproduce, or redistribute magazine content without written permission
• Download or extract articles for commercial use
• Remove watermarks or attribution
• Share subscription login credentials with non-subscribers

5.2 Personal Use License

Subscribers are granted a limited, non-exclusive, non-transferable license to access magazine content for personal, non-commercial use during their active subscription period.

5.3 User-Generated Content

By submitting content (comments, testimonials, event photos), you grant Chara Media a worldwide, royalty-free license to use, display, and promote such content. You warrant that you own or have rights to any submitted content.

The material on this site may not be reproduced, distributed, transmitted, cached or otherwise used, except with the prior written permission of Chara Media Zambia. This includes but is not limited to:

• Magazine articles, photographs, and multimedia content
• Website design, layout, and user interface elements
• Video content and streaming material
• Software code and Platform architectural components
• Brand assets including logos, trademarks, and wordmarks
• Event materials and related documentation

Unauthorized reproduction or distribution of protected content may result in legal action. For permission requests, contact us at info@charamediazambia.com.

You agree NOT to:

• Use the Platform for illegal activities or fraudulent transactions
• Attempt to bypass payment systems or access paid content without authorization
• Hack, reverse-engineer, or disrupt Platform security
• Upload malware, viruses, or malicious code
• Harass, abuse, or impersonate other users or staff
• Scrape, crawl, or use automated tools to extract Platform data without permission
• Resell or redistribute subscriptions or event tickets

Violation of these terms may result in immediate account suspension or termination without refund.

Your use of the Platform is also governed by our Privacy Policy, which details:

• What personal data we collect and why
• How we use cookies and tracking technologies
• Your rights under Zambian data protection laws
• How to request data deletion or portability

By using the Platform, you consent to data processing as described in the Privacy Policy. Please review it carefully.

8.1 Service Availability

The Platform is provided "as is" and "as available." We strive for 99.9% uptime but do not guarantee uninterrupted access. Maintenance windows may cause temporary unavailability.

8.2 Content Accuracy

While we strive for accuracy, Chara Media does not warrant that magazine articles, blog posts, or event information are error-free or complete. Content is for informational purposes only.

8.3 Limitation of Liability

To the maximum extent permitted by Zambian law, Chara Media Zambia shall not be liable for:

• Indirect, incidental, or consequential damages arising from Platform use
• Loss of data, profits, or business opportunities
• Third-party actions (payment gateway failures, internet outages)
• Unauthorized access to your account if you failed to secure credentials

Our total liability for any claim shall not exceed the amount you paid in the 12 months preceding the claim.

9.1 By You

You may close your account anytime via Client Dashboard settings. Closing your account does not entitle you to a refund for unused subscription time.

9.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or applicable laws
• We suspect fraudulent activity (chargebacks, fake payment proofs)
• Your account is inactive for 24+ months (with 30 days' notice)

Upon termination, you lose access to all content and services. Provisions regarding intellectual property, disclaimers, and dispute resolution survive termination.

10.1 Governing Law

These Terms are governed by the laws of the Republic of Zambia. Any disputes shall be subject to the exclusive jurisdiction of Zambian courts in Lusaka.

10.2 Informal Resolution

Before filing a legal claim, you agree to attempt informal resolution by contacting us at legal@charamediazambia.com. We will respond within 14 business days.

10.3 Arbitration (Optional)

For disputes under K10,000, parties may agree to binding arbitration under Zambian Arbitration Act rules to reduce legal costs.

We may update these Terms to reflect legal, operational, or product changes. Material changes will be notified via:

• Email to your registered address (30 days' notice)
• In-app notification banner
• Updated "Last Modified" date at the top of this page

Continued use of the Platform after changes constitutes acceptance. If you disagree, cancel your subscription and stop using the Platform.
